ProsePoint Commercial Theme License

Themes in the theme marketplace are licensed under the ProsePoint Commercial Theme License ("PCTL").

Summary

Essentially, the license works as follows:

  1. Each theme contains PHP files, images, CSS stylesheets, javascript code, and other files.
  2. Those files which are derivatives works of ProsePoint are subject to the GNU General Public License 2 ("GPL") since ProsePoint itself is licensed under the GPL. This typically covers the PHP files including template files ending in tpl.php.
  3. All other files are not subject to the GPL, and are instead covered by the proprietary PCTL. Such files include images and CSS stylesheets.
  4. For these files covered by the PCTL, you may use and modify them, but:
    1. You may only use a theme on one production system.
    2. If you wish to use a theme on another system, you need to purchase another license.
    3. You may not redistribute or sell the theme.

License

LICENSE AGREEMENT

This is a License Agreement between ThinkLeft, operating as ProsePoint (www.prosepoint.org), and you (Licensee).


DEFINITIONS

"The Parties" means both ThinkLeft and the Licensee collectively.

“GPL” means the GNU General Public License, Version 2.

"ProsePoint Software" means the web content management system commonly known as ProsePoint.

"Drupal" means the web content management platform of which the ProsePoint Software is a derived work, and as covered by the GPL.

"Theme" means a website template developed for use with the ProsePoint Software or Drupal.

"Derivative Works" means any work on a Theme that was developed from constructs which are covered by the GPL, typically considered any PHP files, and which are subject to the GPL as a result.

"Licensed Works" means any work on a Theme that was developed from constructs which are not covered by the GPL, including, but not limited to graphics and stylesheets (CSS files), and which are not subject to the GPL as a result.

“Production System” means a system on which Licensee installs or executes all or a portion of a Theme that is used by Licensee for provision of information or functionality to anyone within the general public.

“Test System” means a system on which Licensee installs or executes all or a portion of a Theme that is used solely for Licensee’s development and/or demonstration purposes, but not as a Production System.


LICENSE GRANTED

ThinkLeft grants Licensee a non-exclusive, non-transferable, fully revocable license in each Theme as purchased by Licensee, as follows:

A. Licensee understands and agrees that the License granted under this Agreement applies only to Licensed Works and that Derivative Works are not subject to this license.
B. Licensee may use and or modify the Licensed Works.
C. Licensee may have unlimited Test Systems.


DUTIES OF LICENSEE

Licensee understands and agrees to the following duties with regard to the license of the Theme:

A. Licensee shall not install or execute any Licensed Works included with the Theme on more than (1) Production System per purchased license of the Theme. 
B. Licensee shall not make any claim of ownership or authorship with regard to any Licensed Works included with the Theme.
C. Licensee shall not redistribute the Licensed Works included a Theme.
D. Licensee shall not attempt to sell or transfer part or all of the Licensed Works to another party.


NO LIABILITY

ThinkLeft is not liable for damages for all events and circumstances arising out of, or relating to, this agreement. ThinkLeft is not liable for damages for all events and circumstances arising out of use of a Theme covered by this agreement.
